How long does a company registration take?
A new Company Registration normally take + – 7 working days, this is a guideline as it depends on the workload of the Company Register.
Non Profit company registrations take much longer + – 4 weeks, again depends on the workload of the Company register.
Who can register a Company?
Anyone can register a company, even a foreign national. Foreigners will use their Passports as proof of identification. A company can also register a company. Only people who cant register a company are individuals under 18 and
Can S.B. Company Registrations register my company if I’m not in Gauteng?
Yes, all of our services including new company registration are offered nationwide. The original documents needed for a new company registration will be posted to us or emailed.
Can a company be registered with just one person?
Yes, the company must have minimum 1 director and maximum 20. However Non Profit Companies need a minimum of 3 directors.
Can I register a CC?
No, in terms of the New Companies Act no new Close Corporations will be registered. Existing CC’s will still trade as normal and can convert to A Company (Pty) Ltd status.

Are there any other fees after the company registration?
Yes, all companies pay an annual return once every 12 months. Eg your company registration took place in May 2012 you will pay your Annual return May 2013 (12 months after the company registration took place).
What happens if I pay my annual returns late?
The company register will place a fine on your company. The fine fee will depend on the turnover of your company and how long the annual return hasn’t been paid for.
What happens if I don’t pay my annual returns?
The company register will deem your company as non-active and will begin the deregistration process. If your company has been deregistered by the company register, you can reinstate your company (advisable when the company has property, vehicles and a high standing). However this is a long and expensive process and in most cases it is better to do a new company registration.
Can a company be registered without a name?
Yes, the company register will still issue you with a certificate of incorporation but you will be trading under your registration number. We do advise having an approved name though.
Do I register the company for Income Tax?
Yes, after the company registration is complete it is mandatory for the company to be registered for Income Tax. We can register your company for Income Tax Click Here
Can Company’s still do “Trading as”?
No, in terms of the New Companies Act 2008, Companies may no longer use “Trading As” names.
How long does a name reservation last?
Six months for name reservation after that period the name becomes available to anyone. We advise you complete your company registration with in that period. A name reservation extension can be done to reserve the name for another six months.
Do I need an accounting officer?
Yes and no, after the company has been registered it is advised to assign an accounting officer to your company. At the initial company registration you do not need an accounting officer.
Do I need an auditor for a new company registration?
No, in the initial stage you will not need an auditor. Only companies that fall within a point guideline need to be audited.
